Statutory Registers and Records

The Companies Act now requires that the following registers are to be kept by all company’s at the registered office or at alternative place of inspection of which the details of where must be notified to Companies House;
- Register of Members
- Register of Charges
- Minute book of the proceedings of meeting of the shareholder and its directors and of any sub-committees of the directors
- Accounting records
- Register of directors
- Register of directors’ usual residential addresses
- Copies of directors’ service contracts or memorandum of terms
- Copies of any indemnity provisions for directors
- Register of secretaries
- If the company is a public company, register of interests in voting shares
- Copies of contracts for market and off market purchases of own shares
- Directors’ and auditors’ statements in relation to purchase of shares by a private company out of capital
- Reports into investigation of ownership of shares
Although not required by the act if the company maintains register of debenture holders, there are requirements laid down by the act governing its maintenance and inspection.
