Company Formation Checklist
Forming a company with BIRR Legal Services is easy. Use the following checklist to ensure you have all the relevant information to begin and we can do the rest.
Company Name
Choose a company name that include Limited or Ltd - use our free name checking service to check your name is available.
Domain Name
Along with choosing your name buying a domain name may be one of the most important steps you take.
Registered office
You will need an effective full address including postcode for which all Companies House letters and reminders will be sent so that they can be dealt with promptly. BIRR offer a registered office facility if you require one.
The Company's share capital
Share capital means the size of the company, not it's liability. BIRR Legal Services currently form all companies with 1000 shares of £1 each, at least one should be issued. If you require a different share capital, this can be amended during our formation process.
Share type and structure
BIRR Legal Services usually form proposed shares as Ordinary type but can use a different share type if you require.
Officers
You will need details of each director, company secretary (optional) and shareholders.
Director
For each director you'll need:
- Full Forename(s)
- Surname
- Any former name(s) used for business purposes, including maiden names'
- Full service address - for public record
- Usual residential address - protected information
- Country of residence
- Date of Birth
- Nationality
- Occupation
- Number of shares the director of to have (if applicable)
- 3 Security Questions
- Mother's maiden name
- Eye colour
- Father's first forename
Secretary
(It is now optional to appoint a secretary)
To appoint a company secretary you will need:
- Full forename(s)
- Surname
- Previous name(s)
- Full address including town, county and postcode
- The number of shares, if any, the secretary is to have in the company
- Consent signature
- 3 Security Questions
Shareholder
For a shareholder who is not a director or secretary you will need the following:
- Full forename(s)
- Surname
- Full address including town, county and postcode
- The number of shares, if any, the shareholder is to have in the company
- Consent signature
Objects
BIRR Legal Services form all Limited Companies with "General Objects" which allow the company to trade in all areas of business.
If you require special objects stating a particular area of activity for the business we can amend this for you.
VAT Registration
Will your turnover exceed £67,000 per annum?
If yes, you must register for VAT. BIRR Legal Services can provide you with a full registration service. We can arrange all the necessary documentation and obtain the V.A.T. Certificate on your behalf.
